Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website operated by Platinum Legal Search Group, LLC ("Platinum," "we," "us," or "our"), together with any content, features, and services made available through it (collectively, the "Site"). These Terms form a binding agreement between you and Platinum.

1. Acceptance of terms

By accessing, browsing, or using the Site, or by submitting a resume, inquiry, or other information to us, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. We may modify these Terms at any time; the "Last updated" date reflects the most recent revision, and your continued use of the Site after any change constitutes acceptance of the revised Terms.

2. Eligibility

The Site is intended for legal, business, and recruiting professionals and is not directed to individuals under eighteen (18) years of age. By using the Site, you represent that you are at least eighteen and are able to form a binding contract.

3. Nature of our services

Platinum provides legal recruiting, search, and placement services and, separately, advisory services relating to law firm combinations. The Site is informational. Nothing on the Site is a promise or guarantee of employment, placement, interview, compensation, or any particular outcome. Descriptions of markets, practice areas, and opportunities are general and subject to change without notice.

4. No attorney-client or agency relationship

Platinum is a recruiting and search firm. It is not a law firm and does not practice law. Your use of the Site and any communication with us does not create an attorney-client relationship, and no information you send is protected by the attorney-client privilege or work-product doctrine. Unless and until we enter into a signed written agreement with you or your firm, your use of the Site and submission of information does not create any agency, employment, joint venture, fiduciary, or exclusive representation relationship, and does not obligate us to represent you, present you to any employer, or pursue any search on your behalf.

5. No legal, tax, or professional advice

Content on the Site — including market insights, compensation commentary, and materials describing lateral moves or firm combinations — is provided for general informational purposes only and does not constitute legal, tax, financial, career, or other professional advice. You should obtain independent professional advice before acting on any information from the Site.

6. Your submissions

When you submit a resume, CV, deal sheet, biography, inquiry, or other information ("Submissions"), you represent and warrant that the information is accurate, that it is yours to share, and that sharing it with us does not breach any confidentiality, non-solicitation, non-competition, employment, or other obligation you owe to any third party. You are solely responsible for your Submissions.

You grant Platinum a non-exclusive, royalty-free license to use, store, reproduce, and process your Submissions for the purpose of providing our recruiting and search services, in accordance with our Privacy Policy. As described in our Privacy Policy, we will not disclose your resume or the fact of your inquiry to any prospective employer or other third party without your prior approval, but you otherwise have no expectation of privacy in your Submissions and submit them at your own risk. Email and the internet are not secure, and we do not guarantee the security of any information transmitted to or stored by us.

7. Acceptable use

You agree not to, and not to permit any other person to:

• Use the Site for any unlawful, fraudulent, or unauthorized purpose;
• Submit false, misleading, or infringing information, or information you are not authorized to share;
• Access, scrape, harvest, or collect data from the Site by automated means, or attempt to access areas of the Site you are not authorized to access;
• Introduce viruses, malware, or other harmful code, or attempt to interfere with, disrupt, probe, or breach the Site or its servers or security;
• Reverse engineer, copy, or create derivative works of the Site or its content except as expressly permitted; or
• Use the Site or any content for competing recruiting, list-building, or solicitation purposes.

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms.

8. Intellectual property

The Site and its content — including text, design, layout, graphics, logos, and the marks "Platinum Legal Search Group" and related names — are owned by or licensed to Platinum and are protected by intellectual property laws. Except for viewing the Site for your own non-commercial, informational use, you may not copy, reproduce, republish, distribute, modify, or exploit any part of the Site without our prior written consent. All rights not expressly granted are reserved.

9. Third-party links & content

The Site may contain links to third-party websites and services that we do not own or control, including prospective employers and third-party mailing-list, analytics, or hosting providers. We provide these links for convenience only and are not responsible for the content, accuracy, practices, or security of any third party. Your dealings with any third party are solely between you and that third party.

10. Disclaimer of warranties

The site and all content, services, and information are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Platinum disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. Platinum does not warrant that the site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the site or its servers are free of viruses or other harmful components. Platinum makes no warranty regarding the security of any information transmitted to or stored by it, and disclaims any guarantee of protection against hackers, breaches, intrusions, interception, or unauthorized access. You use the site and submit information at your own risk.

11. Limitation of liability

To the fullest extent permitted by law, Platinum and its members, managers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of or inability to use the site, any submissions, any unauthorized access to or loss of information, or any conduct of any third party, whether based in contract, tort, negligence, strict liability, or otherwise, and whether or not Platinum has been advised of the possibility of such damages.

In no event will Platinum's total aggregate liability arising out of or relating to the site or these terms exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you; in such jurisdictions, Platinum's liability is limited to the maximum extent permitted by law. Nothing in these terms limits liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Platinum and its members, managers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your Submissions, your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party, including any breach of a confidentiality, non-solicitation, or non-competition obligation you owe to another party.

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, disclose, and safeguard information, including candidate resumes, and which includes disclosures required under the California Consumer Privacy Act (as amended), the EU and UK General Data Protection Regulations, and other applicable laws. By using the Site you acknowledge the Privacy Policy.

14. Governing law & jurisdiction

These Terms and any dispute arising out of or relating to these Terms or the Site are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. You agree that the exclusive jurisdiction and venue for any dispute, claim, or action arising out of or relating to these Terms or the Site will be the state and federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts and waive any objection to venue there. Any claim you may have arising out of or relating to the Site or these Terms must be commenced within one (1) year after the cause of action arises, or it is permanently barred, to the extent permitted by law.

15. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Platinum regarding the Site and supersede any prior understandings regarding the Site. They do not supersede any separate signed fee agreement or engagement agreement between Platinum and your firm.

Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent; we may assign them freely.

Headings. Section headings are for convenience only and do not affect interpretation.
