Seeking:

Attorney to provide legal advice to Indian clients on their U.S. investments, operations and securities offerings and interface with local Indian counsel to advise U.S. clients on their India investments and operations; Assist U.S. clients in understanding the Indian market and legal framework; assist in building a prominent U.S.-India practice group ; Develop and market India practice, including organizing webinars and seminars related to India and U.S., write articles and reports on India related matters, organize meetings with potential clients and prepare client pitches; Advise domestic and international clients, including private equity funds in their investments, acquisitions and dispositions of assets and securities; interact with clients, opposing counsel and internal team on commercial transactions; Conduct legal due diligence, draft and negotiate letters of intent, confidentiality agreements, merger and acquisition agreements, financing agreements, and other transaction documents; advise clients with respect to general corporate matters, including incorporation/formation of legal entities, draft organizational documents, lease, and employment agreements. JOB REQUIREMENTS: JD (U.S. or foreign equivalent) plus four (4) years experience in a domestic and cross-border corporate and securities legal advisory position. Prior experience must include: Representing domestic/international clients on cross-border transactions, including handling commercial transactions in United States and India; Advising Indian clients on their U.S. investments and operations and U.S. clients on their India investments and operations; Advising clients using knowledge of Indian laws, regulatory framework and business practices; Building and marketing firm’s India practice by organizing seminars, webinars and panel discussions related to cross-border M & A topics related to the region, preparing reports and newsletters, and presentations and pitches to potential clients in U.S. and India; Supervising work product of junior associates and paralegals on commercial transactions; Communicating (verbally and in writing) with supervisors, junior attorneys and clients to provide legal advice and manage commercial transactions; Experience in various aspects of commercial transactions, including, due diligence, drafting and negotiating letters of intent, merger and acquisition agreements, financing documents and other transaction documents; Admission to New York State Bar.
