Overview

Seeking: Senior Associate to represent U.S. and European public companies and private equity sponsors in cross-border M&A transactions, foreign investments, private equity investment, leverage acquisitions and restructuring; Advising U.S. clients on European corporate governance, securities law, secured transactions law, labor law regulations and risk allocation perspectives; Negotiating terms and conditions in U.S. and European cross-border M&A transactions; Drafting, editing and reviewing agreements, contracts, registration statements, legal memoranda, regulatory filings, periodic reports, securities filings and other related documents for M&A transactions; Advising clients on an ongoing basis regarding general transactional matters, including drafting and amending corporate governance and organizational documentation, preparation and review of disclosure requirements; Managing the flow of complex corporate transactions from inception through final implementation; and Directing due diligence and supervising one (1) to three (3) junior associates or paralegals in the performance of their duties.
