Overview
Seeking: investment funds corporate attorney having 3-8 years of experience to join and help build global Private Investment Funds Group. The candidate should have significant experience with the formation of private equity-style funds (whether buyout, venture capital, real estate, mezzanine, infrastructure or other) and the analysis of relevant issues from the sponsor and/or investor perspective, including experience (i) drafting fund term sheets and private placement memorandum, (ii) drafting, negotiation and/or review of partnership agreements, subscription documents, and side letters, (iii) interfacing with clients (sponsor or investor) and /or opposing counsel, (iv) working with securities law, tax and ERISA specialists in connection with the formation of funds, and (v) review and preparation of documents in response to MFN responses/elections. Similar experience with respect to the formation of the sponsor vehicle and/or hedge funds is a plus. Candidates must be highly motivated and possess excellent academic credentials along with superior communication skills.
